On 06/08/2018 Šiaulių bankas AB received loan conversion notice from European Bank for Reconstruction and Development (hereinafter – EBRD) on the implementation of the right to convert the loan granted to Šiaulių bankas AB under Subordinated Convertible Loan Agreement, concluded on 23/02/2013 by and between Šiaulių bankas AB and EBRD. Under this agreement EBRD has a right, at its sole discretion, to demand Šiaulių bankas AB to convert the loan into ordinary shares of Šiaulių bankas AB. Šiaulių bankas AB received demand to convert the whole outstanding principal amount of the loan, which on the date amounts to EUR 20,000,000, conversion price should be equal to EUR 0,35 per share. Šiaulių bankas AB General Meeting of the Shareholders will be convened to implement the conversion right of the EBRD. Šiaulių bankas AB will inform shareholders about the convening of the General Meeting of the Shareholders in accordance with the procedure established by the Law on Companies of the Republic of Lithuania.
