Notice of the public offering, listing and admission to trading of the subordinated bonds of AS Inbank

AS Inbank (register code 12001988, having its registered address at Niine 11, 10414 Tallinn, Estonia; hereinafter Inbank) hereby declares the public offering of the subordinated bonds of Inbank and notifies of the intended listing and admission to trading on a regulated market operated by Nasdaq Tallinn AS (register code 10359206, registered address Tartu mnt 2, 10145 Tallinn) of the bonds.

Public offering of subordinated bonds

Inbank is publicly offering up to 5,000 bonds “Inbank subordinated bond 28.09.2026” with a nominal value of EUR 1,000 per bond. In case of over-subscription, Inbank has the right to increase the offering volume and issue up to 2,000 additional bonds, offering up to 7,000 bonds in total.

The bonds are subordinated bonds of Inbank, which will be issued in a book-entry-only form. The bonds will be registered in the ECRS under the ISIN code EE3300110964.

The subordinated bonds will be offered at the price of EUR 1,000 per bond, which is equal to the nominal value of one bond. The interest rate of the subordinated bonds is 7% per annum.

The Bonds are subordinated to all unsubordinated claims against the Company. The subordination of the Bonds means that upon the liquidation or bankruptcy of the Company, all the claims arising from the Bonds shall fall due in accordance with the terms of the Bonds and shall be satisfied only after the full satisfaction of all unsubordinated recognised claims against the Company in accordance with the applicable law.

The schedule of the offering of the bonds is as follows:

06.09.2016 Declaration of the public offering of the bonds
12.09.2016 at 12.00 Start of the subscription period of the bonds
23.09. 2016 at 12.00 End of the subscription period of the bonds
At the latest, 27.09.2016 Publication of the allotment results
28.09.2016 or a date close to it Transfer of the bonds to the security accounts of the investors
30.09.2016 or a date close to it Estimated start of the listing and trading of the bonds on the regulated market operated by Nasdaq Tallinn AS (in the Baltic Bond List of Nasdaq Tallinn Stock Exchange).


The listing and admission to trading of the subordinated bonds

On 05.09.2016, Inbank submitted its application for the listing and admission to trading on a regulated market (in the Baltic Bond List of Nasdaq Tallinn Stock Exchange) of Inbank’s bonds „Inbank subordinated bond 28.09.2026“ to the Listing and Surveillance Committee of the regulated market operated by Nasdaq Tallinn AS.

While every effort will be made by Inbank so as to ensure the listing and the admission to trading of the Bonds, Inbank cannot guarantee that the Bonds are listed and admitted to trading.


Availability of the prospectus

The public offering, listing and admission to trading prospectus of Inbank’s subordinated bonds is published and available in electronic form on Inbank’s website at www.inbank.ee/inside/investor/forinvestor/ and on the website of the Financial Supervisory Authority at www.fi.ee/index.php?id=14925. In addition to the foregoing, the prospectus will be made available through the information system of Nasdaq Tallinn Stock Exchange.

Prior to investing in Inbank’s subordinated bonds, we request that the whole prospectus is studied.


Precise terms of the issue will be covered in the investors’ seminars during the subscription period. At the seminars the founders of Inbank, chairman of the supervisory board Priit Põldoja and CEO Jan Andresoo, will comment on the bank’s financial results thus far, detailed plans to start consumer credit business in Poland and deposit-taking in Germany.
